Tox Free Solutions Limited (TOX) is pleased to announce, together with its Joint Venture Partner PLWA Group (Pilbara Logistics WA Pty Ltd), the Company has been successful in the award of a contract to provide Waste Management Services to FMG at the Cloudbreak and Christmas Creek mine sites.

The service offering will include; the management of all waste generated from FMG’s operations including the operation and maintenance of FMG’s landfill at Cloudbreak and design, operation and maintenance of a waste and recycling transfer station at Christmas Creek. Toxfree is also pleased to advise it has entered into a joint venture partnership with PLWA Group to provide services to FMG under this contract. The core business of PLWA Group is the provision of environmental, civil and construction services to the mining sector in the Pilbara. PLWA Group is a local indigenous employment provider further enhancing Toxfree’s commitment to the Pilbara and enhancing its commitment to indigenous career development.

ASX Company News: Hydromet Acquires PGM Refiners

In its forecast move to expand the business of Hydromet (HMC) the Company is to acquire a major interest in PGM Refiners Pty Ltd, a leading electronic waste operator in Victoria. PGM operates out of new premises in Dandenong Victoria and deals largely with local government councils, landfill operators, government bodies and corporate clients. HydroMet has entered into a Subscription Agreement which will lead to the Company acquiring a controlling interest in PGM. Hydromet’s initial investment will be $1.38 million to subscribe for 1,100,000 new PGM ordinary shares issued at $1.25 per share representing approximately 35.5% of the expanded PGM issued capital.

E-waste is one of the fastest growing sectors within the waste industry both locally and globally. Such growth will be further underpinned by the recently enacted Commonwealth Product Stewardship legislation for end-of-life TVs and Computers, mandating higher recycling rates till 2021 and beyond. ASX Company News: Tox Free Acquires Dolomatrix International Businesses

Tox Free Solutions Limited (TOX) announces that it has signed a binding acquisition agreement with DoloMatrix International Limited under which (subject to the satisfaction of certain conditions precedent) Toxfree will acquire Chemsal, BCD Technologies, Entech Industries and Waste Audit, from DoloMatrix, for $58.0 million. Chemsal and BCD Technologies are leading waste management businesses specialising in waste collection, recycling and destruction services within the hazardous waste sector. Chemsal and BCD Technologies operate facilities in Brisbane, Sydney, Melbourne, Adelaide and Perth. Entech Industries and Waste Audit are environmental consulting businesses.

The acquisition represents an attractive opportunity for Toxfree to expand its services in hazardous waste and enhance its hazardous waste strategy throughout Australia. Chemsal and BCD Technologies operate in an attractive and expanding segment benefiting from a structural shift from landfill towards environmentally sustainable waste treatment and resource recovery.

ASX Company News: Tox Free Acquires Pilbara Waste

The board of Tox Free Solutions Ltd (TOX) is pleased to announce it has entered into an agreement to acquire Pilbara Waste Pty Ltd based in Port Hedland, Western Australia.  The acquisition is subject to due diligence with completion expected to occur within October 2011.

The purchase price for the Pilbara Waste business is $4.54 million in cash.  In addition, Tox Free will assume the current vehicle finance leases to the value of $1 million.  The value of Pilbara Waste fixed assets is approximately $3 million which are included in the sale price.

Tox Free is the dominant waste management provider in the North West Region providing industrial services, solid, liquid and hazardous waste management.  Tox Free expects to grow the services offered in the Pilbara region in the medium term through its expertise in servicing the resource sector.  The acquisition will further position Tox Free as a leading provider of industrial and waste management services in the region.

ASX Company News: Carbon Polymers Acquires Reclaim Industries

Carbon  Polymers  Limited  (CBP)  has  successfully  acquired  the  assets  and  operations  of Reclaim Industries Limited (RCM). The Board of CBP  expects that the synergies between the operations of CBP and Reclaim will save  $3‐5  million  in  costs  per  annum  as  well  as  generate  organic  sales  growth  for  both businesses. Reclaim had revenues of $16 million for the past 12 months and had a forward order book  valued at $7 million.  Although Reclaim’s processing capacity was only 600 tonnes per month, it was very effective at maximising the value of its products. The  national  footprint  of  Reclaim  will  assist  CBP’s  ability  to  enter  into  national  collection  agreements with tyre retailers.  The operations in Western Australia and South Australia will also  be  launching  pads  for  increasing  business  with  the  vastly  untapped  mining  sector.

Carbon Polymer’s spare plant capacity in Smithfield in Sydney’s west will immediately fill the product supply shortfall Reclaim has experienced and instantly relieves the additional costs it faced in supplementing its shortfalls. Due to the acquisition CBP will revise its plant roll out strategy.

CBP made  a private  placement  of  $2  million  to  fund the  acquisition. The  final  purchase  price  was  $925,000.    After  allowance  for  inventory,  the  net  acquisition  cost  will  be  $525,000  for  the  three  processing  &  recycling  plants.    This  is against an estimated rollout cost for RCM of between $8‐9 million.

“This  acquisition  will  add  very  substantial  value  for  CBP  shareholders,”  said  Mr  Andrew  Howard, managing director of Carbon Polymers. “This is highly synergistic and moves us much  closer and more quickly to shareholder positive earnings and capital gains.”

The board of Tox Free Solutions Ltd (TOX) is pleased to announce it has entered into an agreement to acquire Waste Solutions (NT) Pty Ltd based in Darwin, Australia.  The purchase price for the Waste Solutions business is $18 million, comprising $10 million in cash and 3,832,904 fully paid ordinary shares in Tox Free.

Waste Solutions is a leading provider of total waste management services in the Northern  Territory, particularly Darwin.  Services include solid waste management, liquid waste treatment and industrial and hazardous waste management. Waste Solutions operate a liquid waste treatment plant and has a number of long term contracts serving the defence industry and the Territory’s largest private enterprises. Over half of Waste Solutions revenue is secured by annual or long term contracts. Tox Free is well positioned to provide total waste management and industrial services for the oil, gas and mining sector in the region through its operating divisions in Karratha, Port Hedland, Broome, Derby and now Darwin.

The value of Waste Solutions assets is approximately $4 million which are included in the sale price.  Tox Free expect to improve the financial performance of the business through organic growth of the region, introduction of further services including industrial services and hazardous waste treatment and synergies with Tox Free’s Kimberley and Pilbara facilities. Tox Free is the dominant waste management provider in the North West Region providing industrial services, solid, liquid and hazardous waste management.  Tox Free expects to significantly grow the services offered in the Darwin region in the medium term through its expertise in servicing the resource sector. Tox Free Solutions Limited (TOX) is pleased to announce the Company has been successful in the award of a contract to provide Waste Management Services to Apache Energy Limited in North Western Australia.

The contract scope includes the provision waste management services to Varanus Island; Stag Platform and associated floating storage offloading (FSO) tanker, Dampier Spirit; Legendre Platform and associated FSO, Karratha Spirit; Floating production storage and offloading (FPSO) tanker the Ningaloo Vision for the Van Gogh development; Offshore drilling rigs contracted by Apache to operate on the North West Shelf; and Devil Creek Gas Plant once this site is operational in 2011. The two year contract is expected to commence in October 2010.

This is another significant achievement for Tox Free as the company continues to secure further waste management and industrial services contracts. As the scale of the operations in the Pilbara region continues to grow for Tox Free the company can continue to leverage off its existing infrastructure to provide strong returns for its shareholders.

DoloMatrix Acquires Veolias Chemical Waste Business

DoloMatrix International Limited (DMX) is pleased to announce the acquisition of Veolia’s packaged chemical waste business in Sydney. The business which operates mainly in the metropolitan area, complements Chemsal’s St Mary’s operation. The acquisition improves the sustainability and diversification of revenues, and should provide attractive long term growth potential for the Chemsal division. Chemsal and Veolia have also entered into an exclusive supply agreement whereby Veolia will continue to provide marketing and sales support to DMX for the packaged chemical waste business. The purchase price of approx. AUD $2.2 million plus acquisition costs will be funded out of the company’s existing cash resources. The business is expected to generate an EBITDA of $650,000 per annum.

Tox Free Solutions Secures $30 million Contract

Tox Free Solutions Limited (TOX) is pleased to announce the Company has been successful in the award of a contract to provide Industrial Services to Murrin Murrin Operations Pty Ltd at the Murrin Murrin Nickel / Cobalt operation in Western Australia. The contract scope includes the provision of industrial cleaning and maintenance services, including Hydro blasting and vacuum loading ; Heat exchanger cleaning; Mechanical descaling and hazardous waste removal; Tank cleaning, pigging and chemical cleaning of lines and tanks; Catalyst handling; and Drain cleaning. The five year contract is expected to commence on 1 July 2010. Estimated revenue will be approximately $30 m over the term of the contract with capital expenditure of $4 m over the same period.

Tox Free To Acquire Envirochem Technologies

The board of Tox Free Solutions Ltd (TOX) is pleased to announce the completion of the acquisition of Envirochem Technologies (Envirochem).   Envirochem is a leading provider of chemical waste collection, treatment and disposal services in all major cities throughout the east coast of Australia including Tasmania. Envirochem operate a licensed hazardous waste management facility located in Melbourne, Victoria. The facility is licensed to treat a broad range of industrial and hazardous wastes and has been in operation since 1993.

The acquisition of Envirochem will complement Barry Bros. Melbourne operations as well as Tox Free’s other hazardous waste facilities on the east coast of Australia.   Mr. Mike Pola, the Director of Envirochem, has over 20 years experience in the hazardous waste management industry and his skills and intellectual property will positively contribute to the growth opportunities on the East Coast of Australia for Tox Free. Mike will continue employment with Tox Free for a minimum term of two years.

This is a significant acquisition for Tox Free that will assist in positioning the Group as a leading national provider of industrial and waste management services.
