ORH Limited Share Purchase Plan

ORH Limited (ORH) announced on the 9/4/2010 that they would be conducting a Share Purchase Plan to raise additional capital. The record date is the 20/4/2010 on which shareholders must own the share to participate in the SPP. The closing date is 25/5/2010.  Shares will be issued on 3/6/2010 and begin trading soon after.  A maximum of  $15,000 can be purchased by each shareholder at $0.034

ORH Sells Port Hedland Property

ORH Limited (ORH) wishes to advise that it has today signed a contract, together with Mr Joshua Ridley, for the sale of 30 Pinnacles Street, Port Hedland for $3.4million. As previous announced, when ORH acquired the Ridwest Group of Companies, Mr Joshua Ridley, as vendor of Ridwest, agreed to transfer to ORH the Pinnacles Street property as part of the Ridwest acquistion. The offer to purchase the property is conditional upon the purchaser obtaining finance within 30 days, which once obtained, will see the property settle within 60 days of 18 March 2010. ORH has agreed to leaseback the property until 31 July 2010.

Upon the settlement of this property and after paying out the bank mortgage and transaction costs, ORH will receive net proceeds of approximately $2million which will be used for general working capital purposes and debt reduction. This transaction will result in ORH booking a profit of approximately $800,000.

ORH Acquires Enmac Businesses

ORH Limited (ORH) advises that it has today entered into Heads of Agreement documentation to purchase the 4 businesses comprising the Enmac Group of Companies. Enmac Mechanical Repairs Pty Ltd repairs earth moving equipment and equipment components for the Mining and Civil construction industries in Western Australia. Enmac Equipment Sales Pty Ltd sells new and used earthmoving equipment, distributing YTO equipment, a Chinese brand to Western Australia. Stronach Consulting Pty Ltd trading as Enmac Labour Hire places skilled maintenance personnel to long and short term positions within the mining and engineering industry in Western Australia. Enmac Truck & Machinery Cleaning (currently trading from a family trust) provides equipment cleaning services for the mining industry on site and in house.

The Enmac Group is a profitable business currently turning over in excess of $2M per annum. With the acquisition of The Enmac Group, ORH will now direct its annual major repairs and maintenance budget for its plant hire division, ORH Contracting Pty Ltd, worth approximately $1.5M per annum to it thereby saving ORH Contracting Pty Ltd approximately $400,000 in cost per annum. The Board of ORH believe that the acquisition will provide substantial opportunities for The Enmac Group to increase sales both organically and via ORH’s existing network of stakeholders. ORH Limited will, purchase the Enmac Group by issuing 4 million shares and 2 million options (expiring on 13 June 2011 at an exercise price of 11.5 cents per option).

Jade Bird to Acquire Orient Corrosion

ORH Limited (ASX: ORH) announced that it has received an unconditional cash offer of US$900,000 (approximately A$1.35million) for the sale of its subsidiary, Orient Corrosion Engineering Pty Ltd (“OCE”). OCE owns ORH’s controlling interest in its Chinese corrosion engineering business. 

The offer is from a division of the Beijing Beida Jade Bird Group (“Jade Bird”), a large Chinese corporation jointly owned by Beijing University and the City of Beijing with significant investments in education, IT, media, energy and resources. The Board of ORH (subject to receiving no better offer for the purchase of OCE) proposes to accept the offer from Jade Bird to divest its interest in the Chinese corrosion joint venture.
