ASX Company News: Humanis Group Acquires Two Recruitment Agencies

International recruitment and labour hire specialists, Humanis Group Limited (HUM) is pleased to announce that it has entered into a conditional agreement to acquire two Australian recruitment agencies. The Agencies provide recruitment services and HR solutions for a wide range of office and business support roles for permanent, contract and temporary staff in the administrative, secretarial and industrial areas both nationally and globally. The projected Sales Revenue of the Agencies for the 2011/12 financial year is expected to be in excess of $150m with an EBIT of over $4.5m. The transaction is structured around a purchase price formula of 4.21 x EBIT, consisting of an equity and cash consideration on settlement, which is expected in early September 2011. The total consideration will be determined upon completion of the audited 30 June 2011 financial statements of the Agencies.

Recently appointed Managing Director Rabieh Krayem commented “The Board is excited by the opportunity that this transaction presents to Humanis and its shareholders. The market segments and geographical locations of the Agencies’ businesses complement Humanis’ existing service offering and are expected to deliver significant earnings growth in future years.”

ASX Company News: Humanis Group Acquires ResCo Services

International recruitment and labour hire specialists, Humanis Group Limited (HUM) is pleased to announce it has executed a formal Share Sale Agreement (SSA) to acquire ResCo Services Pty Ltd for $13.4 million through the issue of Humanis shares at $0.01 per share. Shareholders representing more than 90% of shares in ResCo have executed the SSA, which facilitates the utilisation of ‘drag along’ provisions between the shareholders of ResCo to ensure that Humanis will acquire all of ResCo’s issued capital.

In commenting on the execution of the SSA, Humanis CEO George Gelavis said that Humanis had moved one step closer to completion of a company-making transaction.

Humanis Group Limited (HUM) is a specialist labour hire, professional placement and international recruitment firm with annual revenues of approximately $180 million. The Company listed on the Australian Securities Exchange (ASX) in January 2008 as Total Staffing Solutions Limited and later merger with Humanis Group Limited (owner of Westaff Australia and New Zealand) in August 2009. ResCo Services was founded by Craig Ransley and Andrew Poole in March 2007 after their successful divestment of the TESA Group to Skilled. Operations have been restricted to NSW and Queensland – ResCo currently has 5 offices in NSW and one in Mackay(Qld) focusing on providing labour hire, civil, mechanical maintenance, fabrication, shut downs and total maintenance services. ResCo also manages a number of client owned site based facilities across the Hunter Valley and the Newcastle Port.

International recruitment and labour hire specialists, Humanis Group Limited (HUM) is pleased to announce that it has entered into a binding Heads of Agreement with ResCo Services Pty Ltd in which Humanis will acquire ResCo for $13.4 million through the issue of Humanis shares at $0.01 per share.

A $15 million non-renounceable rights issue (to be underwritten) will also be offered to Humanis shareholders to allow them to subscribe for shares at $0.01 per share to appropriately capitalise the combined Humanis/ResCo Group. Humanis is a leading specialist labour hire, professional placement and international recruitment business.

ResCo provides skilled labour, specialised mine site operation and maintenance services targeting the resources sector, with an emphasis in coal. By bringing Humanis and ResCo together, it will create one of Australia’s most diversified providers of staffing, maintenance and project services solutions, deploying more than 10,000 employees annually.

The combined Group will have an operational capacity spanning Australia, New Zealand and the Philippines, servicing a high-quality client base of principally ASX Top 200 companies. The Group will have significant exposure to key growth sectors in the market with a focus on the skills-and-labour constrained industries, including energy (coal and oil & gas), resources, transport, logistics and financial services.

Total Staffing Solutions Acquires Humanis Group

Total Staffing Solutions Limited (TSF) have today signed a Merger Agreement to acquire all of the shares comprising Humanis Group Limited. Humanis is an Australian owned business that in 2008 acquired Westaff Australia Pty Ltd and Westaff New Zealand Pty Ltd, one of the largest blue collar labour providers in Australia and New Zealand. The TSS board believes that the acquisition will be earnings accretive. The consideration for the acquisition is $9.24 million payable to the shareholders of Humanis via the issue of 1.778 new TSS shares for every 1.0 existing TSF shares on issue. On completion of the merger, the shareholders of Humanis will collectively hold approximately 64% of all issued shares in TSS on a fully diluted basis. The merged company will be a leading mid tier Australasian labour hire provider and the major advantages of the merger include the ability to create and enhance TSS’s blue collar labour hire divisions through the integration of TSS’s Australian, and Westaff’s Australian and New Zealand operations; increase the sales lead generation capacity for UltimateSkills by means of collegial working relationships with Westaff; and enhance the ability to obtain operational scale and cost efficiencies through the delivery of homogenous services to customers and supplier procurement systems.
