ASX Company News: G8 Education Acquires Singapore Cherie Hearts Group

The directors of G8 Education Limited (GEM) are pleased to announce the proposed acquisition of the assets of Cherie Hearts Group International Pte Ltd and its subsidiaries (‘Cherie Hearts’), the largest private provider  of child care centres and kindergarten groups in Singapore.

The Cherie Hearts business will comprise 18 owned child care businesses, 48 franchised child care businesses and majority interests in a training business and an enrichment business.  Additionally 23 franchisees have executed agreements which are awaiting completion. The purchase price is AUD19.23 million.  The transaction will be fully funded from cash reserves and the assumption of AUD5.65 million in existing debt.  The transaction is subject to several conditions precedent including approval from G8 Education’s financier and licensing approvals from the relevant regulatory body in Singapore. Forecast EBIT for The Cherie Hearts Group for calendar year 2011 is AUD4.3 million.

Cherie  Hearts  Group  International  Pte  Ltd  (Cherie  Hearts)  is  the  largest  private  child  care  operator in Singapore. Cherie Hearts offers both an ownership and franchise model. Cherie Hearts provides quality child care and pre school education to children aged between 2 months and 12  years  of  age,  and  offers  bi‐lingual  (English  and  Chinese  Mandarin)  full  day  and  half  day  programs  to children. Cherie Hearts currently caters for approximately 5,000 households in Singapore. There are approximately 849 child care and infant centres in Singapore, with an average of 75 children per centre.  The  department  governing  child  care  services  in  Singapore,  the  Ministry  of  Community Development,  Youth  and  Sports  (MCYS)  has  plans  to  approve  approximately  200  more  child  care  centres across Singapore over the next 5 years. Approximately  half  of  the  centres  in  Singapore  are  operated  by  voluntary  organisations,  and  includes organisations funded by the Singapore government.

Share Purchase Plan: Wide Bay Australia

G8 Education (GEM) announced on the 29/9/2010 that they would be conducting a Share Purchase Plan to raise additional capital. The record date was the 28/9/2010 on which shareholders must own the share to participate in the SPP. The closing date is 22/10/2010.  Shares will be issued on 27/10/2010 and begin trading soon after.   A maximum of $15,000 can be purchased by each shareholder at $9.67.

G8 Education (GEM) announced on the 29/9/2010 that they would be conducting a Share Purchase Plan to raise additional capital. The record date was the 28/9/2010 on which shareholders must own the share to participate in the SPP. The closing date is 21/10/2010.  Shares will be issued on 22/10/2010 and begin trading on 26/10/2010.   A maximum of $15,000 can be purchased by each shareholder at $0.69. ASX Company News: G8 Education Acquires 20 Childcare Centres

Queensland based listed child care operator G8 Education Limited (GEM) is pleased to announce a proposal to acquire a further 20 childcare centres in New South Wales and Queensland. The 20 centres are situated in the following locations: 15 centres located in New South Wales; and 5 centres located in Queensland.

A legally binding Heads of Agreement has been signed for the centres with the vendors of the entity that owns the centres. The Heads of Agreement is subject to due diligence and consent from both the vendors and purchaser’s banks.  The completion of the transaction will increase the number of childcare positions in the G8 Education group to over 9000 across more than 130 centres.

The acquisition of the additional 20 centres will occur through the issue of 10.3 million shares at $0.60 in G8 Education at financial close and a further 10.3 million shares at $0.60 in G8 Education on 31 January 2012 subject to the centre based EBIT target being achieved in the 2011 calendar year. The transaction also involves the assumption of $5.6 million in existing debt.  The issue of the additional shares in January 2012 is conditional upon the total forecast EBIT for the 20 centres for the 2011 calendar year of $4.5 million being achieved.

The Heads of Agreement also gives G8 Education an option to undertake due diligence and transact on a further 5 centres. A decision will be made by 30 November 2010. If this second tranche of centres are acquired shares in G8 Education will be issued in consideration with a value equal to 2 times the forecast centre based EBIT being issued at financial close with further shares issued on 31 January 2012 at $0.60 per share so that the total value of the shares issued for this part of the acquisition does not exceed 4 times the actual centre EBIT for the 2011 calendar year.  The value of this component is capped at $2 million, all of which is payable through the issue of shares in G8 Education at $0.60 each.

ASX Company News: G8 Education Acquires 20 New Childcare Centres

On 1 April 2010, Queensland based listed child care operator G8 Education Limited (GEM) announced a proposal to acquire 10 childcare centres which has now progressed to the completion phase. During the due diligence phase of this transaction, G8 Education Limited recognised that there were additional centres which met G8 Education’s operating criteria.  As a result of this, arrangements with the vendor were renegotiated to enable G8 Education Limited to purchase an additional 10 centres giving a total of 20 centres, including the 10 centres previously announced. The total consideration for the 20 centres is capped at 3.4 times centre based EBIT. The total forecast EBIT for the 20 centres for the next 12 months is $3.37 million.  A legally binding Heads of Agreement has been signed for the second 10 centres with the vendors. The completion of the second transaction will increase the number of childcare positions in the G8 Education group to over 6,200 across 118 centres.

The  acquisition  of  the  additional  10  centres  will  also  be  conducted  through  the  issue  of  scrip and  a  performance based cash payment.  G8 Education Limited to issue 3,555,426 shares in total at an issue price of $0.55 per share.  In  addition,  a  performance  based  cash  payment  will  be  made  on  31  August  2011  based  on  the  audited performance of the 10 centres for the financial year ended 30 June 2011.  The maximum cash payment will be $1,303,656.
