ASX Company News: Cardno Acquires ATC Associates

International infrastructure services consultancy, Cardno Limited (CDD) announced that it has agreed to acquire ATC Associates Inc., a Louisiana, U.S.A. based environmental services firm. ATC Associates is a 1600 person consulting firm with specialist expertise in environmental consulting and services, building sciences, geotechnical engineering and construction materials testing (CMT). The acquisition is expected to contribute approximately US$130 million in revenue and US$16 million in EBITDA over the next 12 months.

Cardno will pay US$106 million for the purchase of ATC which includes payment of US$101 million on settlement and a US$5 million holdback to be paid in 18 month’s. The transaction is expected to be effective 1 March 2012. The acquisition of ATC will be funded through a A$45 million Placement combined with a 1 for 9 Renounceable Rights Issue to existing shareholders which will raise an additional A$66 million approximately. The transaction is subject to customary closing conditions including approval of the Committee of Foreign Investment in the United States, due to a small amount of security level work for the U.S.A.

Cardno Managing Director, Andrew Buckley commented that in line with Cardno’s proven strategy, ATC’s key management will remain active in the company, which will be known as Cardno ATC. Mr Buckley said the addition of Cardno ATC will further strengthen Cardno’s exposure to the U.S.A. environmental and natural resources management market and is highly complementary to Cardno’s existing businesses in the U.S.A. He further noted that this cements Cardno’s position as one of the largest environmental consulting firms in the U.S.A. Mr Buckley added that ATC will provide Cardno with broader access to key U.S.A. clients such as oil, gas and energy companies and major U.S.A. contractors and retail groups. Integral to ATC’s core strength and reputation has been the company’s ability to successfully deliver a broad range of environmental services to major clients through multi-year master service agreements.

ASX Company News: Phoslock Water Solutions Enters Canadian Distribution Agreement

Phoslock Water Solutions (PHK) has signed a Distribution Agreement covering five provinces, with GDG Environnement, a major Canadian environmental services company. The Distribution Agreement is for an initial 2 year period and includes annual purchase obligations by GDG. The Agreement covers the Canadian provinces of Quebec, New Brunswick, Newfoundland, Labrador and Nova Scotia.

PWS General Manager for North America, Mr Eddie Edmunds said GDG was a good fit for Phoslock, providing significant expertise and coverage for blue-green algae impacted water bodies. “Phoslock water treatment to reduce phosphorus levels in waterways is highly complementary to GDG’s suite of services that are aimed protecting public health” said Mr Edmunds. “GDG has recently developed biosensors to detect cyanobacteria toxins, the blue-green algae that threaten the safety of drinking water all over the world. Application of Phoslock is an environmentally safe and effective means of starving the algae of nutrients thereby improving water quality” he explained.

For the past three decades, GDG Environment has been pursuing its mission of carrying out strategic environmental health interventions, first through the prevention and management of the microbiological risks posed by vector-borne microorganisms, and more recently, through allergen exposure prevention. The Company has a competent team of around 200 professionals and technicians that enable it to deploy its expertise throughout the country. The Company possesses two highly specialized laboratories, located at its head office in Trois-Rivières, Quebec. The Company is currently establishing, with a major research institute, a third laboratory specializing in nanotechnology and biosensors. The agreement with GDG is the second major distribution alliance entered by PWS this year. Last month the Company announced an agreement with US-based environmental product and services provider SePRO Corporation. The agreements, along with two other distribution agreements signed in mid 2010, give PWS a substantial footprint in North America for the first time and the potential for broad reach into these major markets.

Campbell Brothers Acquires Ecowise Environmental

Campbell Brothers Limited (CPB) today announced that it has signed a share purchase agreement to acquire 100 percent of Ecowise Environmental Pty Limited for a total consideration of $51 million. Ecowise will be integrated into Campbell Brothers’ highly successful ALS laboratory business.  Ecowise has annual revenues of approximately $55 million, and operates laboratories and aligned environmental services in Australia, focusing on the water sector. Ecowise employs over 380 staff operating across 17 eastern seaboard laboratories and offices. Its major laboratories are located in Melbourne and Canberra. Ecowise is jointly owned by ACTEW Distribution Ltd and Jemena Networks (ACT) Pty Ltd. Ecowise operates three main divisions – Analytical Services;  MATS ; Consulting. Campbell Brothers is paying $40 million for equity and assuming $11 million of debt.
