ASX Company News: Tox Free Acquires Dolomatrix International Businesses

Tox Free Solutions Limited (TOX) announces that it has signed a binding acquisition agreement with DoloMatrix International Limited under which (subject to the satisfaction of certain conditions precedent) Toxfree will acquire Chemsal, BCD Technologies, Entech Industries and Waste Audit, from DoloMatrix, for $58.0 million. Chemsal and BCD Technologies are leading waste management businesses specialising in waste collection, recycling and destruction services within the hazardous waste sector. Chemsal and BCD Technologies operate facilities in Brisbane, Sydney, Melbourne, Adelaide and Perth. Entech Industries and Waste Audit are environmental consulting businesses.

The acquisition represents an attractive opportunity for Toxfree to expand its services in hazardous waste and enhance its hazardous waste strategy throughout Australia. Chemsal and BCD Technologies operate in an attractive and expanding segment benefiting from a structural shift from landfill towards environmentally sustainable waste treatment and resource recovery.

Toxfree is acquiring the business assets, PP&E, intellectual property, inventory and trade receivables in the businesses. Toxfree will assume trade creditors and certain employee entitlements, but will not be assuming any of the cash or bank debt within DoloMatrix. Tox Free Solutions Ltd (TOX) is one of the largest integrated waste management, industrial service and environmental businesses in Australia. The Company offers a full range of waste management services through its national network of licensed waste treatment facilities. In addition Toxfree are fast becoming the leaders in onsite industrial services, waste minimisation, resource recovery and total waste management services.

Dividends: Dolomatrix Ex Dividend On 13/9/2010

Dolomatrix International (DMX) will go ex dividend on 13/9/2010. The current dividend payment is 1 cents and it is 100% franked. The record date is 17/9/2010 and the dividend will be paid on 29/10/2010. Based on the full year payment the dividend yield is 3.8%.

DoloMatrix Acquires Veolias Chemical Waste Business

DoloMatrix International Limited (DMX) is pleased to announce the acquisition of Veolia’s packaged chemical waste business in Sydney. The business which operates mainly in the metropolitan area, complements Chemsal’s St Mary’s operation. The acquisition improves the sustainability and diversification of revenues, and should provide attractive long term growth potential for the Chemsal division. Chemsal and Veolia have also entered into an exclusive supply agreement whereby Veolia will continue to provide marketing and sales support to DMX for the packaged chemical waste business. The purchase price of approx. AUD $2.2 million plus acquisition costs will be funded out of the company’s existing cash resources. The business is expected to generate an EBITDA of $650,000 per annum.

DoloMatrix (DMX) is a market leader, with superior technologies for; the destruction of environmentally hazardous wastes; resource recovery of fluorescent and halogen lamps, discarded metal and plastic packaging. The Company also offers specialist recycling and chemical handling services to industry and government.

DoloMatrix Enters JV With McGill University To Create Carbon NanoTubes

DoloMatrix (DMX) through its wholly owned subsidiary, SRL Plasma today announced the signing of a technological agreement with Montreal-based McGill University to produce carbon nanostructures and nanotubes using thermal plasma.

The agreement is an option to license and develop technology to adapt the Plascon® process using McGill’s expertise and patented technology for producing nanotubes. It is expected to result in the production of commercially viable quantities of high quality carbon nanotubes.

McGill University was selected by SRL Plasma after an extensive appraisal of the experience of numerous research facilities and technologies in producing carbon nanotubes in gaseous phase conditions, such as those that occur during the Plascon® process and in McGill’s patented technology.

Carbon nanotubes are the lightest and strongest fibres known. They are increasingly used in applications where materials having light weight and high strength are essential. Those include aircraft components, Formula 1 cars and high-end sporting equipment.  Carbon nanotubes are typically produced by growing the nanotubes on an expensive substrate. They can also be produced, however, in a gaseous phase without the need for a substrate. Production of carbon nanotubes in a gaseous phase could result in nanotubes that are purer and cheaper than those produced by conventional methods.
