ASX Company News: Beach Petroleum JV Agreement In Tanzania

Beach Petroleum (Tanzania) Limited, a wholly owned subsidiary of Beach Energy Limited (BPT), is pleased to announce the execution of a Production Sharing Agreement (PSA) for a 100% interest in the Lake Tanganyika South concession with the Government of the United Republic of Tanzania, in Dodoma today. The agreement gives Beach the right to explore the Great Rift Valley in western Tanzania. The concession is considered highly prospective for oil, and Beach’s exploration program will target plays analogous to those which are yielding significant success in the Rift system in Uganda.

Beach Energy Managing Director, Reg Nelson said “The signing of the Lake Tanganyika PSA is a major milestone for Beach. This is the first PSA signed by the Government of the United Republic of Tanzania over this part of the Rift valley. Given the success of Tullow Oil plc and Heritage Oil plc in nearby Uganda, along the same rift valley setting, where over 800 MMbbl has been discovered in the past seven years, Beach has high hopes for success in this emerging big oil province.” Mr Nelson also said “Beach is very grateful for the leadership, co-operation and professionalism displayed by TPDC in the negotiation of the PSA and looks forward to working with TPDC to explore this highly prospective acreage.”

Beach Petroleum Ex Dividend On 26/10/2009

Beach Petroleum (BPT) will go ex dividend on 26/10/2009. The current dividend payment is 1 cents and it is 10% franked. The record date is 30/10/2009 and the dividend will be paid on 11/12/2009. Based on the full year payment the dividend yield is 2.3%.

Beach Petroleum to Takeover Drillsearch

Beach  Petroleum  Limited  (BPT)  announces  its  intention  to  make  a $50.0 million conditional  offer for  Drillsearch Energy Limited (DLS). The  Offer  to  Drillsearch  shareholders  is  an  all  share  offer  in  which  Beach  will  offer Drillsearch  shareholders  1  Beach  share  for  every  27  Drillsearch  shares  held  (1-for-27). This ratio was calculated on a 3 month volume weighted average price (VWAP) basis for both  DLS  and BPT  and  represents  a  20%  premium  to  Drillsearch’s  closing  price  of  2.50 cents. 

Beach  has  also  entered  into  pre-bid  agreements  with  a  number  of  Drillsearch’s  large shareholders, totaling 79,206,622  shares or 4.74%  of Drillsearch’s  issued shares.  This, in addition to Beach’s existing shareholding in Drillsearch, gives Beach a relevant interest of 10.04%. The Offer provides an  opportunity  to  develop  Drillsearch’s  assets  through  the  financial strength  of  Beach, since Beach has a strong balance sheet. It would entrust the Drillsearch assets to a very reputable  management team with a sound  track  record  of  developing  and  growing  oil  and  gas  assets. It would  consolidate  permit  ownership  interests  in  the  Cooper  Basin  and  deliver greater  efficiencies,  in  Beach’s  view. Beach  is  an  experienced,  low  cost operator of Cooper Basin Assets. 

Beach’s substantial portfolio of diversified exploration, development and production assets across a range of geographical regions, includes substantial reserves of Oil and Gas. Oil and Gas production for the period 1 July 2008 to 31 March 2009 was 7.4 million barrels of oil equivalent. Beach  had  a turnover of  approximately 167% of  the  total Beach registry,  whereas Drillsearch had a turnover of only 33% of the total Drillsearch registry.
