ASX Company News: Bauxite Resources Enters Joint Venture With Yankuang Resources

Bauxite Resources Ltd (BAU)  announces that in conjunction with its agreement to form a joint venture with Yankuang Resources (“Yankuang”) to explore and mine bauxite and build an alumina refinery in Western Australia (ASX 25/01/2011) , agreement has been reached on the reimbursement to BRL for previous exploration. Yankuang will reimburse BRL with $6.1mi and pay 70% of the cost of all future exploration and mining for bauxite.

BRL has also agreed to now include current DSO proposals in the joint venture company; on a 30% BRL / 70% Yankuang basis. In exchange Yankuang will pay to BRL 70% of all past and future expenditure for the current DSO proposal for mining of 2 million tonnes each year. The amount of the extra reimbursement is now being calculated for external audit.

BRL has a cash balance of approximately $47mi and assets (equipment and property) of $10mi before reimbursement. The net cash outflow including reimbursements for current plans for 2011 is expected to be approximately $2mi.

Bauxite Resources Signs JV Agreement With Yankuang Corporation

The Board of Bauxite Resources Ltd (BRL) is pleased to announce that it has today signed a Heads of Agreement with Yankuang Corporation for the joint development and ownership of an alumina  refinery in the south west of Western Australia.

An agreement will be established to explore and exploit BRL’s Darling Range South tenements for a total area of circa up 10,000 square kilometres. The costs of the exploration of this area to be shared by BRL and Yankuang 51% and 49% respectively. BRL and Yankuang will undertake all works and studies necessary to obtain a Bankable Feasibility Study (BFS) for the development of the proposed alumina refinery.

The BFS is to establish refinery grade bauxite of no less than 150 million tonnes (with a target of 300 million tonnes). Under the proposed “Alumina Refinery JV Agreement”, Yankuang will contribute 75% of the costs of the proposed alumina refinery to earn a 50% interest in the proposed refinery. BRL will receive a 25% free carried interest and will fund a further 25% to bring its interest up to 50%. Yankuang will subscribe for 19.7 million shares in BRL at a price of $0.50 per share.

The Managing Director of Bauxite Resources Ltd Mr Daniel Tenardi said today’s signing of the Heads of Agreement is a significant achievement for BRL and Yankuang after months of extensive negotiations necessary for a large project. “The proposed alumina joint venture is a significant value adding project that will create many jobs and revenue for Western Australia,”Mr Tenardi said.

Bauxite Resources Secures New Bauxite Contract

The Board of Perth based bauxite explorer and developer, Bauxite Resources Limited (BAU) is pleased to announce that it has signed an FOB sales contract with Hongfan International Limited for three 40,000 tonne spot trail sample shipments of its premium run of mine Darling Range low reactive silica bauxite. The shipments are expected to occur in November 2009 and December 2009. BRL believes that the processing of its high grade bauxite with low reactive silica will be favorably received by the end user refineries and that this contract and trial shipments will be the precursor for larger offtake agreements with Hongfan, mineral traders and refineries based in China.

Hongfan is a part of a Chinese diversified group integrating industrial investment, bulk commodity operations, mineral resource development, international investment and finance. It has interests in the manufacture of non-ferrous metals and is seeking to expand its interests in bauxite and alumina. It wishes to establish a long term working interest with BRL. Specifically, it wishes to source a long term supply of Bauxite from BRL and establish strategic co-operation with a view to forming a long term relationship.
