Argus Police Facial Recognition Contract Extended

Argus (ARG) is pleased to announce it has signed an additional annual service and support contract for the PhotoTrac installation used by the NSW Police. The PhotoTrac face recognition installation remains the largest of its kind in Australia. Over the last 12 months Argus has continued to add new functionality and innovation, and has expanded its capability with new functionality and enhancements, leading to direct benefits to front line policing. The product vastly improves response times when front line police are seeking to identify persons of interest, and in so doing introduces a range of operational efficiencies. This, coupled with the robustness of the solution, and its potential to be expanded and integrated into other police technologies, means NSW Police are continuing to support and expand the PhotoTrac solution. The service and support contracts are worth approximately $250,000.

Argus Secures New Contract

Argus  Solutions  Limited (ASV) is  pleased  to  announce  it  has  received  an  order  worth  more  than $130,000 from the Drugs Intervention Program  of the Welsh Assembly Government. The order is for  a  software  module  to  be  implemented  into  the  existing  patient  information  management solution  used by  the Wales  Department  of  Health  -  known  as  Palbase. The module will  enable Palbase to extract relevant data  from  the  databases  which  support  the  Argus  MethaDose application. 

 Argus has previously provided design guidance and input into Palbase. Building on that knowledge, this current opportunity to deliver a module to the Palbase solution is significant, as it removes any technical hurdles to having MethaDose implemented more widely across Wales. For the Welsh Government it means it will not need to work with an application which stands isolated from the wider Health Information System. The direct benefit to Argus is that it will open up further opportunities  for  Argus   to  sell  the  MethaDose  solution  into  this  export  mark et.  The Wales and greater UK markets continue to represent an important market for the company. The sale is also significant as it represents the emerging importance of “software only” sales for the company.  Sales  of  “software  only”  applications  and  solutions,  including  the  high  level interface of Cornerstone are increasingly important as sources of revenue, with low cost of design and delivery.

Argus Proposal to Purchase Leading Technology Provider

Argus (ASV) announced today that it has signed a Share Purchase Agreement by which it plans to acquire Thorsol Pty Ltd (ThorSol). ThorSol is a rapidly growing product and services company focused on safety, security and emergency management. It develops and provides sensors, products and systems to clients in asset management, OH&S, mass transit, road engineering, emergency services and advanced technology development. Its clients are private corporations and domestic and international governments. 

Argus plans to raise $3 million cash by a placement of shares to new investors (not associated with the proposed joint venture partner).  Argus will also contribute its current business and the proceeds of the proposed placement into a joint venture vehicle, in return for which Argus will own a 51% controlling interest. The joint venture partner, ThorSol Pty Ltd (ThorSol), currently holds its business in the proposed joint venture vehicle, and its interest will reduce to 49%. 

The planned transaction achieves Argus’ objectives by making Argus part of a company with a focus on Argus core capabilities in identity management within the security markets as well as the broader markets of safety and emergency management, by providing a wider sales capability (both locally and internationally) and by providing access to complementary products which are sold to the same client sector, but which are wider in scope and capability than existing Argus products. 

The Directors request that ASX suspend the company from trading until it is in a position to provide additional information about ThorSol including financial information about the entity. It is expected that this information will be available by mid April 2009.
