ASX Company News: Amcom Telecommunications Acquires L7 Solutions

Amcom Telecommunications (AMM), a leading telecommunications provider, is pleased to announce that it has acquired L7 Solutions Pty Ltd (L7) for $15m. L7 is an information technology company, specialising in the provision of IT integration solutions, managed services, advisory and related services, generating revenue of $40m in FY11. Established in 2004, L7 has a strong reputation having built its business organically in the Perth market. Now employing 130 staff, with approximately 200 clients across the Enterprise and Government sectors.

Amcom’s CEO Clive Stein said, “The acquisition is an excellent strategic fit for Amcom as it provides complementary product offerings and importantly, leverages our existing fibre network assets and opens opportunities to offer new services into our existing customer base. The L7 business has an extensive skills capability that will enable us to accelerate our recently launched Cloud offering. There are significant cross selling opportunities into our existing 900 corporate and Government customer base.” “For FY13, we expect the business to deliver at least $4m in EBITDA, the first full financial year as part of the group. This means it will be strongly EPS accretive that year” said Stein.

ASX Company News: Amcom Telecommunications To Provide Cloud To WA University

Amcom Telecommunications Limited (AMM) has entered into an agreement to provide hosted Cloud services to The University of Western Australia (UWA). The partnership will involve Amcom hosting dedicated Cloud services for UWA in Amcom’s secure Data Centres in Perth. The initial contract value is $9 million over 3 years with options for extending. The Amcom hosted Cloud solution provides UWA hundreds of computer servers and over 400 terabytes of storage, delivered across Amcom’s secure, reliable dedicated geographical path diverse 10-gigabit fibre network between UWA and Amcom’s Data Centres.

Dr Mary Davies, UWA’s librarian and Director (Information Management), is delighted with the partnership. “As UWA’s requirements increase, it is vital for us to strategically plan to provide our students, academics and researchers all the computing power and storage to meet their future needs. Amcom Telecommunications Acquires IP Systems

Amcom Telecommunications Limited (AMM) is pleased to announce that it proposes to acquire 100% of the issued share capital of IP Systems Pty Ltd. At settlement of the proposed acquisition, IPS will be a wholly-owned subsidiary of Amcom. IPS is a leading provider of converged voice, video and data solutions to the enterprise market. These solutions are delivered over carrier-grade IP (internet protocol) based technology and fibre-optic networks. This strategic acquisition expands Amcom’s product range into enterprise voice solutions and increases Amcom’s addressable market.

Initial consideration will be $6.5m comprising cash consideration of $5.3m and 4.1m shares in Amcom at 30c per share. Further consideration in the form of Amcom shares to a minimum floor of $3m and a maximum cap of $14m will be issued subject to IPS meeting agreed profitability levels between 1 July 2009 and June 2012.

Amcom’s CEO Clive Stein said: “This gives us the potential to significantly increase Amcom’s share of our customers’ spend on telecommunications services. The acquisition also provides opportunities for Amcom to extend its market footprint, with an Amcom office now in most major capital cities. This means Amcom can better serve the needs of national customers and grow our business. IPS has 10 years’ experience in deploying reliable market leading voice and communications technology, and its products are ideally suited to Amcom’s existing customer base. We are very pleased that as a result of this acquisition we will be able to provide our existing customers with a ‘best of breed’ voice and communication solution that enhances our already strong customer relationships. IPS will add approximately $12m revenue to our strongly growing business. Very importantly this transaction has been structured to be EPS accretive for our shareholders from the first full year of ownership,” Mr.  Stein said.

IPS is a leading Australian provider of IP (internet protocol) based communications technology. Built on a fibre-optic backbone, the IP Systems network delivers converged voice, video and data solutions to major centres in Australia and New Zealand.

Amcom Telecommunications Secures NT Government Contract

Amcom Pty Ltd, a wholly owned subsidiary of Amcom Telecommunications Limited (AMM), has executed an agreement to provide high-speed fibre based telecommunications services to the Northern Territory Government (NTG). The agreement with the NTG will involve Amcom extending its existing fibre networks in both Darwin and Alice Springs to provide data carriage services to government agencies and schools. The initial contract value is for $20 million over 5 years. Amcom will establish an office in Darwin to service the Northern Territory business and pursue further commercial opportunities.

“We are delighted to be awarded this tender from the Northern Territory Government as it reinforces Amcom’s growth strategy and our position as a leading provider in high-speed fibre based telecommunications”, said Amcom CEO Clive Stein. “This is a beachhead contract of significant value and provides us with expanded infrastructure and scale to capture further organic opportunities in Darwin and Alice Springs”, said Mr Stein. “The additional fibre optic infrastructure to be installed in Darwin and Alice Springs will enable us to leverage other commercial opportunities and introduce new data products for business customers, who to date have had limited access to high-speed fibre services”, said Mr Stein.

The expansion of Amcom’s existing Darwin infrastructure will commence this month with Diamond  Communications, a subsidiary of Ausdrill being appointed as lead contractor for the project. Amcom and Diamond have an established relationship that successfully delivered the SABRENet project in South Australia on time and on budget. It is estimated that the capital expenditure for Amcom will be in the order of $10 million and is expected to be completed by September 2010.
